The Companies Act introduced new fiscally transparent entities which seek to combine the benefits of a corporate vehicle with tax transparent qualities. A company under the Companies Act usually takes approximately five to seven (5 – 7) business days to be incorporated upon submission of the approved name and corporate documents with the Antigua and Barbuda Intellectual Property and Commerce Office (IPCO).
Annual Returns
An Annual Return for each incorporated company must be filed with the with the Antigua and Barbuda IPCO in the prescribed form by April 1st each year containing information up to December 31st of the preceding year and must be accompanied by the prescribed fee. The Annual Return must be signed by a director or an authorized officer of the Company.
Corporate Tax
Companies registered under the Companies Act are required to pay corporate tax at the rate of 35% per annum.
