Effortless External Company Registration
According to the Companies Act 1995, an external company can be formed;
- If business of the company is regularly transacted from an office in Antigua and Barbuda established or used for the purpose.
- If the company established or uses a share transfer or share registration office in Antigua and Barbuda.
- If the company owns, possesses or uses assets situated in Antigua and Barbuda for the purpose of carrying on or pursuing its business, if it obtains or seeks to obtain from those assets, directly or indirectly, profit or gain whether realized in Antigua and Barbuda or not.
To register an External Company:
Submit the proposed name (exactly as it is on the registration certificate) indicating whether the company will be for PROFIT OR NON-PROFIT, to secure a name search and name reservation of the proposed external company. The Corporation Documents of the company must be submitted beforehand for review.
The following documents are required at minimum:
- Certificate of Incorporation
- Articles of Incorporation and By-Laws
- Notice of Registered Office
- Notice of Directors
- Certificate of Good Standing
The registration of your external company (foreign maritime entity) may take up to five (5) working days to be registered upon filing of all required corporate documents with the Registrar.
